1. Description of Service

DerootGST is an automated B2B compliance software-as-a-service (SaaS) platform that connects to corporate accounting databases to sync, clean, validate, and reconcile sales/purchase vouchers, monitor vendor filings, and prep GST return documents.

2. User Account Security

To utilize the services, you must register a corporate account. You agree to:

• Provide accurate, current, and complete corporate registration details.
• Maintain the confidentiality of account login details and credentials.
• Promptly notify support of any unauthorized system intrusions or data leaks.

3. Fair Use & License

We grant you a limited, non-exclusive, non-transferable license to access the Platform in accordance with your active subscription plan. You agree **not** to:

• Reverse-engineer or scrap data from the automated matching matching engines or Copilot algorithms.
• Use custom APIs in any manner that exceeds rate limits or disrupts server operations.
• Submit intentionally fraudulent invoice data or invalid GSTIN profiles to bypass compliance checks.

4. Payment, Renewal & Cancellation

Subscription fees are billed in advance on a monthly or annual basis, depending on the plan (Starter, Growth, or custom Enterprise). All billing is non-refundable unless specified. You may cancel your subscription or modify limits at any time, taking effect at the end of the current billing cycle.

5. Limitation of Liability

While our validation pre-checks have 99.5% accuracy, tax calculations and final return filings are ultimately your corporate responsibility. DEROOT VENTURES PRIVATE LIMITED is not liable for any interest penalties, fines, or damages resulting from tax filings or portal validation exceptions.

6. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India. Any legal disputes arising out of the services shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka.
